Insurance Gap

Problem

Vendor starts work without a current COI, or COI expires during the contract term

Result

Any injury or damage during the work period falls on the HOA's policy. Premiums rise. Board faces personal liability questions.

Solution

Require a COI at contract signing and at every annual renewal. Put a COI expiration reminder in your calendar.

Exit Gap

Problem

Contract auto-renews for another full year; no termination-for-convenience clause

Result

Bad vendor is locked in. Board must either breach the contract or pay through the term. Alternatives can't be hired.

Solution

Require 60-day termination for convenience. Set a calendar reminder 90 days before auto-renewal.

Change Order Approval Form

Standardized form the vendor submits before performing any out-of-scope work. Requires board officer signature and approval within a defined number of days. Prevents verbal change orders that the board didn't actually approve.

Lien Waiver Request

Final payment checklist item — vendor signs a lien waiver confirming all subcontractors and material suppliers have been paid before final payment is released. Prevents mechanic's lien claims on HOA property after a project closes.

Performance Standards Worksheet

Defines what “done” looks like for ongoing service contracts — inspection criteria, acceptable deficiency rate, re-work timeline. Gives the board objective grounds to invoke the termination-for-cause clause.

A scope of work template prevents the most common contract dispute

Disputes over what was and wasn't included in a contract almost always trace to a vague original scope. A zone-by-zone or service-by-service exhibit makes the expectations explicit — and makes it easy to evaluate whether the vendor performed.

COI requirements protect the HOA from uninsured liability

A vendor injury on HOA property without workers' comp falls on the HOA. A vendor who damages a homeowner's property without CGL coverage creates a direct homeowner complaint to the board. The COI requirement sheet standardizes what you require — so you never forget to ask.

Lien waivers close projects cleanly

An unpaid subcontractor can file a mechanic's lien against HOA property even if the HOA paid the general contractor in full. A lien waiver from the general contractor — certifying all subs were paid — is the only protection. Make it a condition of final payment.
